Welcome to PodifyGPT. Please read these Terms of Service ("Terms") carefully before using the PodifyGPT mobile application (the "App").

1. Agreement to Terms

By accessing or using PodifyGPT, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you do not have permission to access or use the App.

Codainer Ai LLC reserves the right to modify or revise these Terms at any time. We will provide notice of any material changes through the App or via email. Your continued use of the App after such modifications will constitute your acknowledgment and agreement to the modified Terms.

3. Account Registration and Security

• You must register for an account to access the App
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account information
• You are responsible for all activities that occur under your account

• You agree to notify us immediately of any unauthorized access or use of your account
• You agree not to share your account credentials with any third party
• We reserve the right to disable any account if we believe you have violated these Terms

4. Services Description

4.1 App Features

• Note-taking functionality
• Podcast generation from notes
• Other features as made available through the App

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice.

5. User Content

5.1 Content Ownership

• You retain ownership of the notes you create in the App
• By using our podcast generation feature, you grant us a license to process your notes into podcast content
• You are solely responsible for your content and its legality

5.2 Content Restrictions

You agree not to create or upload content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights
• Contains malicious code or malware
• Is harmful, abusive, or inappropriate

6. Intellectual Property Rights

6.1 App Ownership

• The App, including its original content, features, and functionality, is owned by Codainer Ai LLC
• The App is protected by copyright, trademark, and other intellectual property laws

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purposes.

7. Acceptable Use Policy

7.1 Prohibited Activities

You agree not to:

• Use the App for any illegal purpose

7.2 Compliance

You agree to comply with all applicable laws and regulations while using the App.

8. In-App Purchases and Billing

8.1 Payment Processing

• All purchases and subscriptions are processed through your device's app store (Apple App Store or Google Play Store)
• Payments are subject to the terms and conditions of your respective app store
• Billing and payment disputes must be directed to your app store provider
• App store payment and refund policies apply to all transactions

8.2 Subscription Terms

• Subscription prices and terms will be displayed in the app store before purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You can manage and cancel subscriptions through your app store account settings
• Subscription cancellation takes effect at the end of the current billing period

8.3 Refunds

• All refund requests must be submitted through your device's app store
• Refund policies are governed by the respective app store's terms and conditions
• Codainer Ai LLC does not directly process refunds for in-app purchases

9. Termination

You may terminate your account at any time by contacting us.

9.2 Termination by Codainer Ai LLC

We may terminate or suspend your account immediately, without notice, if:

• You violate these Terms
• We suspect fraudulent activity
• We believe termination is necessary to protect our services, users, or rights

10. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied.

10.2 Service Availability

We do not guarantee that:

• The App will always be available or error-free
• The results of using the App will be accurate or reliable
• Any errors in the App will be corrected

11. Limitation of Liability

11.1 Liability Limits

To the maximum extent permitted by law, Codainer Ai LLC shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages resulting from interruption of service or loss of data

11.2 Liability Cap

Our total liability shall be limited to the amount you paid us through the app stores in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless Codainer Ai LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your:

• Use of the App
• Violation of these Terms
• Violation of any rights of another party
• Content created or shared through the App

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Codainer Ai LLC regarding the App.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

13.4 Assignment

You may not assign your rights under these Terms without our prior written consent.
